Foolstop 高難度數學課程(「至難計劃至尊版」)服務條款及細則 (Terms & Conditions) 生效日期:2026年5月1日|版本編號:V1.0 本服務條款及細則適用於報讀由 Foolstop Education Company(下稱「本公司」)開辦的「Foolstop 高難度數學課程」(「至難計劃至尊版」)之學生(透過其家長或法定監護人): 課程內容與交付模式 (a) 本課程設計為完全在線交付。自初期開始,每週將在 PDF 講義中提供一組 10 條「至尊難度」題目(下稱「至難題」)(其水平相等於或可比擬香港小學高年級學生或同等標準)並附帶詳細答案,同時提供 10 段短片講解。每週這些教材分別以 PDF 檔案及影片連結形式發放,且該等 PDF 檔案可在課程結束後 30 天內下載。 (b) 本公司將上述所有教學材料同步並備份至兩個獨立的雲端服務商。 (c) 若因技術問題而未能如期交付教學材料,本公司將盡一切合理的努力於 72 小時內提供。 2. 版權保護 (a) 所有上述講義、公式、方程及算法、題目及答案、影片和材料均屬本公司之版權,且由本公司單獨及排他性地擁有。嚴禁及禁止任何形式、方式、設備或技術的錄影、截圖、複製、轉載、抄襲或侵權行為。 (b) 如發現任何上述定義的任何形式之侵權行為,本公司將向侵權方/侵權人發出書面通知,要求其在 5 天內停止並終止該等及任何進一步或類似的侵權行為,並向本公司提供其完整詳情,以及涉及其中的所有方/人士、侵權文件或書面材料。 (c) 如本公司未能在要求下收到任何侵權方/侵權人的滿意回覆,本公司將有權並將追究其法律權利及救濟,以獲得所有適當的禁制令及制止令,並向侵權方及/或涉案人士索償損害賠償及訴訟費用。特別是,若發現任何學生以任何方式參與此類侵權行為,本公司保留即時終止該學生入學資格並對該學生追究上述權利及救濟的全部權利。 (d) 在 30 天下載期限屆滿後,系統將自動封存該等材料,且不再提供。 (e) 本公司將於課程結束前七(7)天以及下載期限的最後一天各發送一封「下載截止日期」提醒電郵。 (f) 就本協議而言,「課程結束」是指該期最後一份 PDF 講義發送給學生的日期。30 天的下載窗口自該日起算。「技術問題」是指:(i) 支付平台系統故障;(ii) 網絡連線中斷;或(iii) 本公司伺服器暫時無法與付款服務供應商確認交易。 3. 報讀與繳費守則 3.1 支付方式 (a) 本公司接受透過轉數快(FPS)或 Stripe 線上支付費用。成功收到付款後,將在三個(3)工作天內或在第一份 PDF 發佈之日(以較遲者為準)發送確認電郵及第一套材料的連結。 (b) 如在學生報讀後十四(14)天內未全數繳付費用,則報名視為無效,此後將不提供任何教學材料。若因技術問題導致本公司未收到付款確認,本公司將在扣除適當費用後退還費用,且不提供材料。 (c) 惟若本公司實際上在三(3)個工作天內收到費用,則該學生的入學將被視為正常且有效。 3.2 行政權力 本公司保留拒絕任何學生入學的權利,惟該拒絕不得基於種族、宗教、性別或任何其他允許的例外情況。當本公司行使此權利時,本公司將向相關學生的家長/法定監護人說明拒絕原因(並遵守任何其他適用法律的要求)。 4. 退款政策 4.1 常規退款 如遇以下任何一種情況,本公司將立即通知家長/法定監護人並安排退還已向本公司支付的費用: (a) 課程在開課前取消:全額退款; (b) 課程在開課後但未完成前終止:全額退款; (c) 課程未按照單張開辦(例如:未遵循廣告和宣傳物品的時間表):全額退款。 4.2「回水」教學質素保證退款機制 (Unconditional Quality Guarantee Refund) (a) 本公司提供業界獨有之教學質素保證退款保障,賦予家長主動終止合約之權利: i. 申請時機: 家長可於該期課程 最後一次 PDF 發放前的任何時間 提出全額退款申請。 ii. 全額保障: 本公司將不設額外條件,全額退回該期已繳交之學費。本公司亦會承擔退款產生之行政或平台手續費(如有)。全額退款申請一旦確認,該學員於該期課程之存取權限將即時終止。 iii. 優先權轉讓: 鑒於教育資源有限,一旦家長行使此權利,該學員及家長於未來候補名單之優先順序將遞延至其他候補學生之後,即該學員及家長之候補優先順序,將遞延至未曾報讀本公司課程之其他候補學生之後。為保障教育資源公平分配,行使本機制之記錄將存檔於本公司的內部系統,僅用於內部候補名單排序參考,存檔期限不超過本公司設定的資料保留政策所定之時限。本機制不構成對家長或學員之懲罰,亦不影響其未來公開報名之權利。 (b) 本退款機制之權利不影響家長依法享有之任何其他權利。如該學員於未來再次報名,本公司仍保留重新審核其優先權的權利。 (c) 已報名之學員於同一期課程僅得行使一次回水機制。 4.3 退款政策優先順序 (a) 如同時符合多項退款情形,依下列順序適用: ①回水機制 ②不可抗力 ③常規退款 (b) 即使課程已經開始,學生亦可透過回水機制退款或常規退款的條款,獲得全額退款。 5. 一般守則 5.1 退款方式 (a) 退款將以轉數快 (FPS)支付。對於透過 Stripe 作出的付款,退款可透過原付款管道處理,除非平台另有要求。在此情況下,本公司將通知家長替代的退款方式。 (b) 十八歲以下學生之退款須由家長或監護人代辦。 (c) 若平台退款超過 7 個工作日未到帳,承諾轉為 FPS 人手處理。 (d) 公司將於收到退款申請後 14 個工作天內完成退款。 5.2 修改權利 本公司有權修改上述規條,修改後於官網公布並電郵通知所有已報名之學生。 本公司於任何條款變更前,至少提前 14 天以電郵及官網公告方式通知學生。 如有任何爭議,本公司保留對條款之最終解釋權,惟不影響任何一方依法享有之權利或向相關爭議解決機構提出申訴之權利,且不得違反任何消費者保護相關條例或其他適用法律的任何規定。 6. 管轄法律和爭議解決 本條款受香港法例管轄;如有爭議,雙方同意優先透過協商或調解解決,必要時提交香港小額錢債審裁處或相關法院管轄。小額錢債審裁處管轄上限為HK$75,000。 本條款及細則之中英文版本如有任何歧義,概以英文版本為準。 7. 不可抗力 因天災、戰爭、政府行為、雲端服務重大故障、流行病、公共衛生緊急狀況,以及香港判例法中所定義的超出任何一方合理控制範圍的其他事件等不可抗力因素,雙方得暫停或解除本合約,本公司將全數退回課程費用。 如發生不可抗力情事,本公司將於合理時間內(最遲不超過五(5)個工作天)以電郵及簡訊方式通知家長,說明不可抗力之性質、預計影響期間以及可能的應對措施。 若不可抗力持續超過 30 天,雙方得協商是否延長課程期限或解除合約並全額退費。 本條款不適用於因公司自身故意或重大過失所致之服務中斷。 在不可抗力情事發生且導致部分 PDF 無法如期交付時,本公司將於合理時間內提供替代下載連結,並保證已發送之教材仍能於原定 30 天期限內下載。若因不可抗力而無法提供任何教材,則依本條款此項全額退費。 8. 法律責任 除本公司故意或重大過失外,對於因課程內容導致的任何間接、特殊或衍生損害概不負責; 本公司之最高賠償金額以已付學費總額為上限。 本責任上限不適用於公司因故意或重大過失所造成之直接人身傷害或財產損失。

Foolstop Enhanced Difficulty Mathematics Course (“Supreme Edition”) – Terms & Conditions Effective Date: 1 May 2026 Version No.: V1.0 Terms & Conditions for enrolment in "Foolstop Enhanced Difficulty Mathematics Course" to be conducted by Foolstop Education Company ("the Company") of its students (through their parents or legal guardians) : 1. Course Content and Delivery Mode (a) This Course is designed to be delivered entirely online. From the outset, in each week, a set of 10 "Supreme-Difficulty" questions, which are equal to or comparable with the level of senior primary school students i n Hong Kong or an equivalent standard, including detailed answers will be provided in PDF lecture notes, together with 10 short explanatory videos. These weekly materials are released as PDF files and video links respectively, and these PDF files may be downloaded within 30 days after the end of the Course. (b) The Company synchronizes and back-up all the above teaching materials to two Independent Cloud service providers. (c) If owing to technical problems, we are unable to deliver the teaching materials on schedule, we will make every reasonable effort to provide them within 72 hours. 2. Copyright Protection (a) All the above-mentioned lecture notes, formulas, equations and algorithms, questions and answers, videos and materials are the copyright of and solely and exclusively owned by the Company. Any recordings, screenshots, reproduction, reposting, copying or infringement in any form or manner or by any device or technique is strictly prohibited and forbidden. (b) If any infringement of any kind as defined above is discovered, the Company will issue a written notice to the infringing party/person to cease and desist from such and any further or similar infringement within 5 days and render to the Company full details thereof and all the parties/persons who, and infringing documents or writings which, are involved therein. (c) If no satisfactory reply is received from any infringing party/person by the Company as required, the Company will be at liberty to and will pursue its legal rights and remedies to obtain all appropriate injunctions and restraining orders and t o claim damages and costs against the infringing party and/or person involved. In particular, should any student is found to be in any way involved in such infringement, the Company reserves the full right to terminate the student's enrolment and pursue its said rights and remedies against such student, forthwith. (d) After reaching of the 30‑day download period expires such materials, the system will automatically archive the materials which will no longer be made available. (e) The Company will send a “Download Deadline” reminder email seven (7) days before the end of the Course and again on the last day of the download period. (f) For the purpose of this Agreement, “Course End” means the date on which the final PDF lecture note for the term is sent to the student. The 30‑day download window starts from that date. ”Technical issue” refers to (i) a failure of the payment platform’s system, (ii) an interruption of internet connectivity, or (iii) a temporary inability of our server to confirm a transaction with the payment service provider. 3. Enrolment & Payment Rules 3.1 Methods of payment (a) The Company accepts payment of its fees via FPS (Fast Payment System) or Stripe online. Upon successful receipt of payment, a confirmation e-mail together with the link to the first set of materials will be sent within three (3) business days or on the date when the first PDF is dispatched - whichever occurs later. (b) If full payment of the fees is not effected within fourteen (14) days after enrolment of the student, the enrolment is deemed invalid and no teaching materials will be provided thereafter. Should a technical problem cause the non-receipt by the Company of a payment confirmation, we will subject to making an appropriate deduction, refund the fees and no materials will be Supplied. (c) Provided that if payment of the fees is in fact received by the Company within three (3) business days, the enrolment of the student will be treated a s regular and effective. 3.2 Administrative authority The Company reserves the right to refuse enrolment of any student provided that the refusal is not based on race, religion, gender or any other permitted exception. If and when the Company exercises such right, the Company will give the parent/legal guardian of the student concerned the reason for such refusal (and abide by any other requirement by any applicable law). 4. Refund Policy. 4.1 Regular refunds The Company will immediately notify the parent/legal guardian of and arrange a refund of the fees paid to the Company in any of the following cases : (a) The Course is cancelled before its commencement: full refund; (b) The Course is terminated after it has started but before completion: full refund; (c) The Course is not provided as in accordance with the brochure (e.g. it does not follow the schedule in advertising or promotion materials): full refund. 4.2 “Unconditional Quality Guarantee Refund” (the “Back‑water” Teaching‑Quality Guarantee) (a) The Company offers a unique, industry‑first teaching‑quality guarantee that allows parents to terminate the contract at their discretion: i. Timing of application: The parent may submit a full‑refund request at any time before the final PDF for the term is issued. Ii. Full refund guarantee: Upon approval, the Company will refund 100 % of the tuition already paid, and will also bear any administrative or platform fees incurred in processing the refund. The student’s access to the Course material will be terminated immediately. Iii. Priority‑position transfer: Because teaching resources are limited, a parent who exercises this right will have their waiting‑list priority deferred behind all other candidates who have not enrolled in the Course before. Records of each use will be kept internally only, retained for no longer than the period specified in the Company’s data‑retention policy. This record is used solely for internal waiting‑list ordering and does not constitute a penalty nor affect any future right to enrol. (b) This right does not affect any statutory rights of the parent or student. If the same student re‑applies in the future, the Company reserves the right to re‑assess its waiting‑list priority. (c) A enrolled student may invoke the Unconditional Quality Guarantee Refund only once for a particular term. 4.3 Refund‑policy priority order (a) If more than one refund condition is met at the same time, the following protocol will apply: ① Unconditional Quality Guarantee Refund ② Force Majeure ③Regular refunds (b) Even if the Course has already started, a student may invoke the provision of either the Unconditional Quality Guarantee Refund or a Regular Refund and will result in a full refund. 5. General Rules 5.1 Refund method (a) Refunds will be paid via FPS. For payments made through Stripe, refunds may be processed through the original payment channel unless otherwise required by the platform. In such a case the Company will notify the parent of the alternative refund method. (b) For students under eighteen (18) years of age, a parent or legal guardian must handle the refund request. (c) If a platform‑initiated refund does not arrive within seven (7) business days, the Company will manually supplement the amount via FPS. (d) The Company will process any refund request within fourteen (14) business days from receipt of the request. 5.2 Modification rights The Company may amend these terms at any time. Any amendment will be posted on the Company’s website and notified by e‑mail to all enrolled students. At least fourteen (14) days’ notice in e-mail to all enrolled students and post on company website must be given before a change takes effect. If a change concerns price, course hours or teaching method, the parent may terminate the contract within fourteen (14) days of receiving the notice and receive a full refund. The Company retains the right of final interpretation, provided that such interpretation does not prejudice any statutory rights of either party nor deprive either party of recourse to an appropriate dispute‑resolution body, nor contravene any provision of any consumer protection related ordinance or other applicable law.. 6. Governing law & dispute resolution These terms are governed by the laws of Hong Kong. In case of a dispute, the parties shall first attempt conciliation or mediation. If unresolved, the matter may be brought before the Small Claims Tribunal (claim limit HK$75,000) or any appropriate court in Hong Kong. In case of any inconsistency between the English version and Chinese version of this terms and conditions, the English version will prevail.  7. Force Majeure Force‑Majeure events include natural disasters, war, governmental actions, major cloud‑service failures, epidemics, public‑health emergencies, and other events beyond the reasonable control of either party as defined in Hong Kong case law. Either party may suspend or terminate this Agreement if a Force‑Majeure event occurs; in such cases the Company will provide a full refund of all fees paid. The Company shall notify the parent as soon as reasonably possible, and no later than five (5) business days, via e‑mail and SMS, specifying, the nature of the Force‑Majeure event, the expected period of impact and any remedial measures being taken. If the Force‑Majeure situation continues for more than thirty (30) days, the parties may negotiate an extension of the Course term or a termination with full refund. This clause does not apply where the interruption is caused by the Company’s intentional act or serious negligence. When a Force‑Majeure event results in partial inability to deliver some PDFs, the Company will, within a reasonable time, provide alternative download links and guarantee that any material already sent remains downloadable for the original 30‑day window. If no material can be supplied at all, a full refund will be made pursuant to this Section. 8. Liability Except for liability arising from the Company’s intentional or serious negligence, the Company shall not be liable for any indirect, special or consequential losses that arise from the Course content. The maximum aggregate liability of the Company is limited to the total amount of tuition fees actually paid by the parent for the relevant term. This limitation does not apply to liability for direct personal injury or property damage caused by the Company’s intentional wrongdoing or serious negligence.
